IRA Rollover

I expect to be laid off any day now. I have a 401k with the company but it hasn’t performed very well over the last year or so (big surprise). Should I roll it over to Fidelity (where I have my other IRA accounts) or leave it with the company for a few years while the market turns around. It seems if I roll it over, I might be booking some losses. The 401k has some good Vanguard options. What are the pros and cons of leaving it or rolling it over?

In 2007 I took out 30K from my Rollover IRA. When I filed ‘07 taxes in 2008, I paid the tax (around 5K) + 10% penalty on the early withdrawal.

Can I claim this 5K as a deductible on my 2008 tax return. In other words can I deduct this 5 K as the expense from my 2008 income when I file for the 08 taxes. I guess not but would appreciate if you can confirm it.
